Terms of Service

1. Acceptance of Terms

By accessing or using NeuronTalk (hereinafter referred to as the “Service”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (hereinafter referred to as the “Terms”). If you do not agree to these Terms, you must refrain from using the Service.

2. User Eligibility

  • You must be at least 13 years old (or the age of majority in your jurisdiction, if higher) to use the Service.
  • You may not use the Service if such use is prohibited by applicable law, including but not limited to sanctions, export controls, or similar restrictions.

3. Scope of Service and User Conduct

NeuronTalk (the “Service”) is an integrated digital communication platform designed to provide users with a free and diverse space for the exchange of ideas. Its core features include:

  • Synapse: A real-time messaging tool supporting one-on-one and group conversations.
  • Pulse Plaza: A public social space where all users can share short posts, links, and media.
  • Message Capsule: A personal email service for sending and receiving standard electronic mail.

The Service aims to facilitate communication and information sharing. Users are expected to utilize the platform in a lawful manner and with respect for others.

Prohibited Conduct

  • Using the Service in any unlawful manner or in violation of these Terms.
  • Publishing content that is illegal or contravenes universal human values, including but not limited to terrorist content, extreme violence, and child pornography.
  • Sending spam, engaging in phishing, or distributing malware or other malicious code.
  • Attempting to access, interfere with, or use non-public systems or areas without authorization; or in any way disrupting or compromising the integrity or performance of the Service.

4. Content and Intellectual Property

  • Your Content. You retain ownership of any content you submit. However, by submitting content, you grant the Service a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely for the purpose of operating and providing the Service.
  • Third-Party Rights. You must not upload or share content that infringes upon or misappropriates another party’s copyright, trademark, or other intellectual property rights.

5. Minimal Review Policy (Zero-Tolerance Content)

The Service is committed to implementing minimal content moderation; however, the following content is strictly prohibited under all circumstances:

Harmful Content Involving Minors

  • Child sexual abuse material (including text, images, video, drawn/animated, or AI-generated content).
  • Exploitation or trafficking of minors.
  • Content promoting or normalizing pedophilia.

Extreme Violence and Terrorism

  • Terrorist propaganda or recruitment materials.
  • Incitement to genocide or attacks against specific or identifiable groups.
  • Graphic depictions of torture, executions, or dismemberment for the purpose of glorification or recruitment.
  • Content glorifying animal cruelty for entertainment or incitement purposes.

Non-Consensual and Severe Privacy Violations

  • Non-consensual intimate imagery (including so-called “revenge porn”).
  • Private imagery captured or leaked without consent.
  • Deepfake or AI-generated non-consensual sexual imagery.

Incitement of Real-World Harm

  • Direct calls to commit murder, assault, bombings, or other similar violent acts.
  • Encouragement of suicide or self-harm, particularly targeting minors or vulnerable individuals.
  • Promotion of dangerous challenges that risk death or serious injury.

Human Trafficking and Exploitation

  • Sale or promotion of human trafficking, forced labor, or sexual slavery.
  • Organ trafficking.

Cybercrime and Major Fraud Tools

  • Distribution of malware, ransomware, or similar malicious software.
  • Sale or distribution of stolen payment instruments or identity-theft toolkits.
  • Black-market sales of hacked data, accounts, or forged identification documents.
Regional Variance Statement. For content that may be legal in some jurisdictions but illegal in others (e.g., drugs, firearms, gambling, political, or religious speech), the Service does not proactively moderate. Users are solely responsible for ensuring compliance with their local laws and assume all associated risks.

6. Content Removal and Account Termination

If content violates the aforementioned zero-tolerance policy, infringes intellectual property rights, or poses risks to the Service’s security, legal compliance, or operations, the Service may remove such content and, at its discretion, suspend or terminate the relevant account. The Service reserves the right to preserve and disclose information when required by a court or regulatory authority.

7. Limitation of Liability

The Service is provided on an “as is” and “as available” basis, without any express or implied warranties. To the maximum extent permitted by law, the Service shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or business opportunities, arising from or related to your use of the Service.

8. Indemnification

Should your violation of these Terms or applicable laws, or your content, give rise to any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees), you agree to defend, indemnify, and hold harmless the Service, its developers, and affiliates from and against such claims.

9. Dispute Resolution

You agree that any disputes, claims, or controversies arising from or related to these Terms of Service or your use of the Service shall be resolved according to the following procedures:

  1. Informal Negotiation. Prior to initiating any formal legal proceedings, both parties agree to engage in at least sixty (60) days of informal good-faith negotiation via email (sent to NeuronSupport@proton.me) to seek a resolution. This period commences upon receipt of written notice.
  2. Binding Arbitration. If informal negotiation fails to resolve the dispute, any subsequent claims or controversies (except as noted below) shall be exclusively resolved through legally binding online arbitration conducted in the Republic of Singapore. The arbitration shall be administered by a reputable online dispute resolution provider (e.g., Net-ARB or another mutually agreed institution) under its then-current simplified commercial rules, with a single arbitrator. The arbitration decision shall be final and binding on both parties.
  3. Exceptions to Arbitration. The mandatory arbitration agreement does not apply to: (a) any request for injunctive relief to prevent actual or threatened infringement of a party’s copyright, trademark, trade secret, or patent rights; or (b) any claim within the jurisdiction of the Singapore Small Claims Tribunals.
  4. Governing Law and Jurisdiction. These Terms of Service and any disputes arising therefrom shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-law principles. Except for the aforementioned exceptions to arbitration, the exclusive jurisdiction for any necessary judicial proceedings shall be the courts of the Republic of Singapore.
  5. Waiver of Class Action Rights. All claims and disputes must be brought in an individual capacity and not as a plaintiff or member of any purported class action. You expressly waive any right to initiate, participate in, or join any form of class action.
  6. Statute of Limitations. Any claim or action arising from these Terms must be brought within one (1) year of the date on which the claim or cause of action accrued, or it shall be permanently barred.

10. Changes to Terms

These Terms may be amended from time to time. In the event of material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after the effective date of the revised Terms shall constitute your acceptance of such changes.

2. 用戶資格

  • 您必須年滿13歲（或您所屬法域之成年年齡，如較高者）方得使用本服務。
  • 如適用法律禁止您使用本服務（包括受制裁、出口管制或類似限制者），您不得使用本服務。

3. 服務範圍與使用規範

神經鏈接（「本服務」）是一個整合性的數位通訊平台，旨在為使用者提供一個自由、多元的思想交流空間。其核心功能包含：

  • 突觸 (Synapse)： 一個提供一對一及群組對話的即時通訊工具。
  • 脈衝廣場 (Pulse Plaza)： 一個向所有使用者公開分享簡短貼文、連結及媒體的社群動態空間。
  • 訊息膠囊 (Message Capsule)： 一項用於收發標準電子郵件的個人電郵服務。

本服務旨在促進溝通與資訊分享。使用者應以合法且尊重他人的方式使用本平台。

禁止行為

  • 以任何違法之方式或違反本條款之方式使用本服務。
  • 發布非法或違反人類普世價值的內容，包括但不限於：恐怖主義內容、極端暴力及兒童色情。
  • 發送垃圾訊息（spam）、釣魚、散布惡意程式或其他惡意程式碼。
  • 嘗試未經授權存取、干擾或使用非公開系統或區域；或以任何方式干擾、破壞本服務之完整性或效能。

4. 內容規範與智慧財產權

  • 您的內容。您對您所提交之內容仍享有所有權。惟您同意授與本服務一項非專屬、全球性、免權利金之授權，僅為提供與營運本服務之目的，而得託管、儲存、重製及展示該等內容。
  • 第三方權利。您不得上載或分享侵害或挪用他人著作權、商標權或其他智慧財產權之內容。

5. 最小審查政策（零容忍內容）

本服務致力於實施最小限度之內容審查；惟下列內容於任何情況下均屬嚴禁：

針對未成年人的有害內容

  • 兒童性虐待材質（包括文字、圖像、影片、繪製／動畫或以人工智慧生成者）。
  • 未成年人之剝削或人口販運。
  • 宣揚或正常化戀童癖之內容。

極端暴力與恐怖主義

  • 恐怖主義宣傳或招募素材。
  • 煽動對特定或可辨識群體進行種族滅絕或攻擊。
  • 為美化或招募目的，而對酷刑、處決或肢解作血腥露骨之描繪。
  • 為娛樂或煽動而美化虐待動物之內容。

未經同意與嚴重侵犯隱私

  • 非自願性私密影像（包括所謂「報復性色情」）。
  • 未經同意所拍攝或外流之私密影像。
  • 深偽或以人工智慧生成之非自願性性影像。

煽動現實世界中的危害

  • 直接呼籲實施殺人、傷害、爆炸或其他類似暴力行為。
  • 鼓勵自殺或自我傷害，特別是針對未成年人或脆弱個體。
  • 宣傳足以導致死亡或嚴重傷害之危險挑戰活動。

人口販運與剝削

  • 販售或宣傳人口販運、強迫勞動或性奴役。
  • 器官買賣。

網路犯罪與重大詐騙工具

  • 散布惡意軟體、勒索軟體或類似之惡意程式。
  • 販售或散布遭竊支付工具或身份盜用工具組。
  • 黑市販售遭駭資料、帳號或偽造證件。
地區差異聲明。對於在某些法域合法而在其他法域非法之內容（例如：毒品、槍械、博弈、政治或宗教言論），本服務不主動審查。使用者應自行確保遵守其所在地之法律，相關風險由使用者自行承擔。

6. 內容移除與帳號終止

如內容違反前述零容忍政策、侵害智慧財產權，或對本服務之安全、法遵或營運造成風險者，本服務得移除該等內容，並得自行裁量暫停或終止相關帳號。依法院或主管機關之要求，本服務得保存並揭露相關資訊。

7. 責任限制

本服務係以「現況」及「可得」基礎提供，並不作任何明示或默示之保證。在法律所允許之最大範圍內，本服務對因您使用本服務而生或與之相關之任何間接、附隨、特別、衍生、懲戒性或懲罰性損害，或資料、利潤、收入、商機之喪失，不負任何責任。

8. 賠償條款

如因您違反本條款或相關法律，或因您的內容而引發任何主張、責任、損害、損失與費用（包括合理之律師費），您同意為本服務、其開發者及關聯方抗辯、予以賠償並使其免受損害。

9. 爭議解決

您同意，因本服務條款或使用本服務所產生或相關的任何爭議、索賠或歧見，均應根據以下程序解決：

  1. 非正式協商。在提起任何正式法律程序前，雙方同意先透過電子郵件（寄送至 NeuronSupport@proton.me）進行至少六十（60）日的非正式善意協商，以尋求解決方案。此期限自收到書面通知時起算。
  2. 具約束力之仲裁。若非正式協商未能解決爭議，任何後續的索賠或爭議（下述例外情況除外）應專屬地透過在新加坡共和國進行的、具法律約束力的線上仲裁解決。仲裁應由具公信力的線上爭議解決機構（例如 Net-ARB 或其他雙方同意之機構）根據其當時有效的簡易商業規則，由單一仲裁員進行。仲裁結果對雙方均具最終約束力。
  3. 仲裁之例外情況。上述強制仲裁協議不適用於：(a) 任何尋求禁制令救濟以防止實際或潛在侵犯一方之著作權、商標權、營業秘密或專利權的行為；(b) 任何符合新加坡小額索償法庭受理範圍的索賠。
  4. 管轄與準據法。本服務條款及任何因其產生的爭議，均應以新加坡共和國之法律為準據法，並據此解釋，不適用其法律衝突原則。除上述不受仲裁約束之例外情況外，任何必要的司法程序之專屬管轄法院為新加坡共和國法院。
  5. 集體訴訟權利拋棄。所有索賠和爭議必須以個人名義提出，而非作為任何集體訴訟的原告或成員。您明確放棄任何提起、參與或加入任何形式集體訴訟的權利。
  6. 訴訟時效。任何因本條款引起的索賠或訴訟，必須在索賠或訴訟原因發生後的一（1）年內提出，否則將永久喪失權利。

10. 條款修改

本條款得不時修訂。如有重大變更，我們將透過本服務或其他合理方式通知您。於修訂條款生效日後，您持續使用本服務者，視為您已接受該等變更。
